Agreement With Terms of Use

These Terms of Use state the terms and conditions by which users may use Web sites of American Association of Colleges for Teacher Education (“AACTE”). This includes all Web sites with a root URL ending in or containing any variation the URL of “aacte.org” (“AACTE Web Sites”). For all purposes, the Terms of Use incorporate and include AACTE’s current Privacy Policy.

PLEASE READ THESE TERMS OF USE CAREFULLY. IF YOU DO NOT AGREE WITH ANY PORTION OF THESE TERMS OF USE, DO NOT USE ANY OF THE AACTE WEB SITES. BY ACCESSING AND USING AN AACTE WEB SITE, YOU STATE AND SIGNIFY YOUR ACCEPTANCE TO BE BOUND BY THESE TERMS OF USE.

AACTE reserves the right to update, amend, or modify these Terms of Use at any time and from time to time. Use of an AACTE Web Site following any such update, amendment, or modification constitutes the users’ agreement to follow and be bound by the updated Terms of Use. Check this page frequently for any updates, amendments, or modifications to the Terms of Use.

The terms “you,” “your,” “user,” “users,” “member user,” and “member users,” as used in these Terms of Use, refer to all individuals and/or entities accessing an AACTE Web Site for any reason. The terms “AACTE” and “we,” as used in these Terms of Use, refer to AACTE, including its agents and employees.

Cancellations

All cancellation requests must be submitted in writing no later than the final registration deadline of the event in questions to receive a refund. Cancellation requests received after the registration deadline will not be eligible for a refund, unless documentation is presented to prove the individual registrant was unable to travel. A $150 administrative fee will be deducted for each cancellation request and deducted from the refund. All refunds are processed after the AACTE Annual Meeting and Events. Copyright Notice

AACTE Web Sites are collective works or compilations owned and operated by AACTE. All materials on the AACTE Web Sites (e.g., text, graphics, logos, button icons, images, applets, video and audio clips, and software) are the property of AACTE or its content suppliers and are protected by U.S. and international copyright, trademark, and other laws.

AACTE Web Sites present a variety of viewpoints. The views expressed or implied on AACTE Web Sites, unless otherwise expressly noted, should not be interpreted as official positions of AACTE.

Use of Web Sites

The following outlines acceptable and unacceptable uses of AACTE Web Sites:

• Users may not copy, reproduce, republish, upload, post, transmit, sell, or distribute any material, including content and graphics, on any AACTE Web Sites for any public or commercial purpose.
• Users may download one copy of the content on any single computer for their personal, non-public, non-commercial use, provided that they keep intact all copyright and other proprietary notices.
• Users may use e-mail addresses on AACTE Web Sites for personal, non-commercial use only. Use of these e-mail addresses for any other purpose is strictly prohibited.
• Modifying materials or copying HTML code from AACTE Web Sites is a violation of AACTE’s copyright and other proprietary rights.
• Users may not use AACTE Web Sites in any manner that will infringe on the copyright, trademark, trade secret, or other intellectual property rights of AACTE or others or violate the privacy, publicity, or personal rights of AACTE or others.
• Users may not use AACTE Web Sites to post, transmit, distribute, store, or destroy material in violation of any applicable law or regulation.
• Users may not use AACTE Web Sites to post or transmit material that is sexually explicit, defamatory, obscene, threatening, abusive, hateful, or otherwise offensive.

If a user wishes to use any material posted on AACTE Web Sites for any purpose other than those authorized in these Terms of Use, such use must be with the prior express written consent of AACTE. For more information, contact aacte@aacte.org.

The AACTE Brand Mark

AACTE’s brand mark is protected by certain laws of the United States and may not be used without AACTE’s prior express written permission. AACTE retains the exclusive right to grant or refuse permission to use its logo. For more information on AACTE’s brand mark policy, contact aacte@aacte.org.

Other Brand Marks and Brand Names

Brand marks and brand names displayed on AACTE Web Sites are the exclusive intellectual property of their respective owners. These items are licensed to AACTE but remain the property of their respective owners. The use of any third-party brand mark(s) on any AACTE Web Sites is not and shall not be deemed to be AACTE’s endorsement of such third party.

Accuracy of Information

Though reasonable efforts have been made to ensure the accuracy of information on AACTE Web Sites, neither AACTE nor its information contributors can be held responsible for any errors, inaccuracies, or incomplete information contained therein. AACTE reserves the right to correct, change, or update any information on the AACTE Web Sites at any time without prior notice.

Advertising

From time to time AACTE displays advertisements or notices for its own programs and products on AACTE Web Sites. Additionally, AACTE may accept paid banner advertising and/or paid listings to appear on selected pages of the AACTE Web Sites. The presence of such an ad or listing does not constitute an endorsement by AACTE of a particular company or organization or its programs, products, or services. Users link to or use any such programs, products, and/or services at their own risk

Mailing List Rental

AACTE rents USPS lists only and does not rent member e-mail addresses. Your rented list file will include the following fields: individual name, individual title, institution name, street address, city, state, zip code, and country. Please note that each rental is good for 2 mailings. Organizations that wish to send more than 2 mailings must re-rent the list.

Disclaimer

The materials included in the AACTE Web Sites, whether directly or by link and whether directly or indirectly, are provided “as is,” including all faults, errors, and omissions and without warranties of any kind, either expressed or implied. To the fullest extent permissible, pursuant to applicable law, AACTE and its affiliates disclaim all warranties of merchantability and fitness for a particular purpose. AACTE does not warrant that the functions contained in the AACTE Web Sites will be uninterrupted or error-free, that defects will be corrected, or that the AACTE Web Sites or the server that makes them available are free of viruses or other harmful components.

YOU USE AACTE WEB SITES AT YOUR OWN RISK. IF YOU ARE DISSATISFIED OR DISAGREE WITH THE AACTE WEB SITES OR THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE AACTE WEB SITES.

Neither AACTE nor any of its employees, directors, officers, agents, vendors, or suppliers will be liable for any losses or direct, indirect, incidental, consequential, exemplary, or punitive damages arising out of or in connection with the use of or the inability to use the AACTE Web Sites. Users agree to reimburse AACTE for all losses, damages, or expenses (including court costs and reasonable attorney’s fees) that AACTE may incur as a result of any violation of these Terms of Use.

Use Outside of the United States of America

AACTE makes no representation or warranty that the AACTE Web Sites or any of the information contained in the AACTE Web Sites may be available, accessible, lawfully accessed, transmitted, viewed, downloaded, or otherwise used outside of the United States of America. Any user accessing the AACTE Web Sites from outside of the United States of America does so at her or her own risk and is solely responsible for compliance with the laws of the jurisdiction from which access is made.

Information on AACTE Web Sites may contain references or cross-references to AACTE products, programs, and services that are not announced or available in every user’s country. Such references do not imply that AACTE intends to or has any obligation to announce such products, programs, or services in the user’s country.

Links

AACTE makes no representations or warranties whatsoever about any other Web site that users may access, link to, or learn about through any of the AACTE Web Sites. When users access an external Web site from any of the AACTE Web Sites, they acknowledge and agree that such external Web site is independent from AACTE, that AACTE has no control over the content on or availability of that Web site, and that AACTE shall not have any liability with respect to the user’s use of or access to such Web site.

A link or reference to an external Web site does not mean that AACTE endorses, has, or accepts any responsibility for the content or the use of such external Web site. It is up to users to take all precautions to ensure that any and all of the Web sites they select for use, whether or not accessed by link or reference on AACTE’s Web Sites, are free of such items as viruses, worms, Trojan horses, and other items of a destructive nature.

Companies or institutions may link to complete public pages of the AACTE Web Sites for educational purposes. Links to individual images, applets, or other content are prohibited. If a link is contained within a frame, the link must open within a window that is occupied solely by the AACTE Web page. Use of images from AACTE Web Sites to create buttons or highlight links to AACTE is strictly prohibited.

Groups or persons who link to the AACTE Web Sites without clear evidence of instructional or educational intent will be directed to remove the link. No delay or inaction by AACTE in this regard shall be deemed to be approval or a waiver by AACTE. AACTE reserves the right to request removal of any link it deems offensive or inappropriate, at any time and for any reason whatsoever, including for no reason. Screen Shots

Companies or institutions may use screen shots of pages on the AACTE Web Sites for non-profit, non-commercial educational purposes, with AACTE’s express written permission for one-time use. AACTE encourages screen shots of the home page or front pages of major sections. Contact aacte@aacte.org for complete guidelines on requesting screen shots of AACTE Web Sites.

Security

Users are prohibited from violating or attempting to violate any or all security of the AACTE Web Sites.

YOU MAY NOT:

• access data not intended for you or log into a server or account that you are not authorized to access
• attempt to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization
• attempt to interfere with service to any AACTE member, user, host, or network including, without limitation, submitting a virus to one or more AACTE Web Sites, overloading, “flooding,” “spamming,” “mail bombing,” or “crashing”
• send unsolicited e-mail, including promotions or advertising of products or services, to e-mail addresses accessed through the AACTE Web Sites
• forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting
• use any device, software, or routine to interfere or attempt to interfere with the proper working of any AACTE Web Sites or any activity conducted on the AACTE Web Sites
• use or attempt to use any engine, software, tool, agent, or other device or mechanism (including, without limitation, browsers, spiders, robots, avatars, or intelligent agents) to navigate through or search the AACTE Web Sites

Any action that imposes an unreasonable or disproportionately large load on AACTE’s Web Site infrastructure is prohibited. Violations of system or network security may result in civil or criminal liability. AACTE will investigate such violations and may involve and cooperate with law enforcement authorities in prosecuting users who are involved in such violations.

Termination of Use

AACTE and its representatives reserve the right to deny use of any or all AACTE Web Sites to any user for any reason without notification. Any violation of the Terms of Use or infringement of the rights of AACTE or any sponsors of the AACTE Web Sites may result in legal action against the violating user. AACTE may, in its sole discretion and at any time, modify or terminate any one or more of the AACTE Web Sites and remove or refuse to post any information, content, materials, or other offering.

Disclaimer of Warranties

YOU AGREE THAT YOUR USE OF AACTE.ORG AND ITS PRODUCTS AND SERVICES IS AT YOUR OWN RISK.

THE MATERIALS IN, ACCESS TO, AND USE OF THE AACTE WEB SITES AND SERVICES IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE BY LAW. AACTE AND THE AACTE WEB SITES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NEITHER AACTE NOR THE AACTE WEB SITES WARRANT THAT THE FUNCTIONS, PRODUCTS, OR SERVICES OF THE AACTE WEB SITES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, NOR THAT THE SITE OR ITS SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FURTHERMORE, THE SITE DISCLAIMS ANY WARRANTIES FOR OTHER SERVICES, CONTENT, OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SITE OR ACCESSED THROUGH ANY LINKS ON THE SITE. Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL AACTE OR THE AACTE WEB SITES NOR ANY OF ITS/THEIR RESPECTIVE EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY LOSSES OR EXPENSES OF WHATEVER NATURE AND HOWSOEVER ARISING, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF USE, LOSS OF DATA, LOSS CAUSED BY A VIRUS, LOSS OF INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY OR PERSON, ANY DECISION MADE BY YOU OR ACTION TAKEN BY YOU IN RELIANCE UPON ANY CONTENT, CLAIMS BY AACTE OR ANY THIRD PARTIES, OR OTHER LOSSES OF ANY KIND OR CHARACTER, THAT RESULT FROM THE USE OF OR THE INABILITY TO USE THE AACTE WEB SITES, ITS CONTENT, OR FROM ANY OF THE SERVICE, EVEN IF THE SITE OR AN AUTHORIZED REPRESENTATIVE OR THE SITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT SHALL AACTE’S AND THE AACTE WEB SITES’ TOTAL LIABILITY TO YOU, ANY USER, OR THIRD PARTY FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO AACTE OR THE AACTE WEB SITES FOR PURPOSE OF ACCESSING THE SERVICE OR CONTENT PROVIDED ON THE AACTE WEB SITES OR OTHERWISE MADE AVAILABLE VIA THE AACTE WEB SITES.

Indemnity

Users agree to indemnify and hold AACTE, the AACTE Web Sites, and their respective officers, employees, and agents harmless from and against any and all liabilities, demands, claims, and expenses, including reasonable attorney’s fees and court costs, arising from any breach of AACTE’s Terms of Use and/or Privacy Policies, from your use of or access to the AACTE Web Sites, including but not limited to any content submitted to or accessed from the AACTE Web Sites.

Consent to Use of Photographic Images and Video Policy

AACTE reserves the right to use photographs and video taken at AACTE events for marketing purposes including, but not limited to, on social media, on our various websites, and in print and/or e-mail marketing campaigns. By registering for an AACTE event, you authorize AACTE to use your likeness without additional permission for these purposes.

Other

These Terms of Use and the Privacy Policy shall be governed by and construed in accordance with the laws of the District of Columbia (Washington, D.C.) without regard to its conflict of law provisions. Users agree that any action at law or in equity arising out of or relating to the Terms of Use or the Privacy Policy or to the use of any of the products, services, or content on the AACTE Web Sites shall exclusively be filed in the state or federal courts located in Washington, D.C., and users hereby consent and submit to the personal jurisdiction of such courts for all such purposes.

Furthermore, in the event AACTE seeks legal action to enforce the provisions of these Terms of Use or the Privacy Policy, the substantially prevailing party in such matter shall be entitled to recover reasonable attorney’s fees and related court costs from any substantially non-prevailing party. If any provision of these Terms of Use or the Privacy Policy shall be deemed to be unlawful, void or for any reason unenforceable, then such limited provision shall be deemed severable from the Terms of Use and/or Privacy Policy and shall not affect the validity and enforceability of any remaining provisions of the Terms of Use and Privacy Policy.

Users agree that regardless of any law or statute to the contrary, any claim or cause of action arising out of or relating to the use of the AACTE Web Sites and the Terms of Use must be filed within one (1) year of the date the claim or cause of action arose or be barred as untimely. The failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right.

THESE TERMS OF USE, TOGETHER WITH THE PRIVACY POLICY, AS THE SAME MAY BE AMENDED FORM TIME TO TIME, CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND AACTE AND THE AACTE WEB SITES RELATING TO THE SUBJECT MATTER CONTAINED HEREIN AND SHALL NOT BE MODIFIED EXCEPT AS PROVIDED HEREIN OR IN WRITING SIGNED BY THE SITE.

In the event of any dispute between the Terms of Use and the Privacy Policy, the provisions of the Terms of Use shall control.
